ProGantt - End User License Agreement

END USER LICENSE AGREEMENT

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Vectras Software ("Company") for the use of ProGantt ("Software"), a custom visual for Microsoft Power BI.

1. LICENSE GRANT

The Company grants you a limited, non-exclusive, non-transferable license to use the Software in accordance with the terms of this Agreement and your active subscription.

2. SUBSCRIPTION

The Software is available in two tiers: a Free plan providing core Gantt functionality, and a Pro plan with advanced features including baseline comparison, critical path analysis, and swimlane grouping. The Pro plan requires an active subscription purchased through Microsoft AppSource, billed monthly or annually on a per-user basis.

3. RESTRICTIONS

You may not:

Reverse engineer, decompile, or disassemble the Software
Distribute, sublicense, or transfer the Software to third parties
Remove any proprietary notices or labels on the Software
Use the Software for any unlawful purpose

4. INTELLECTUAL PROPERTY

The Software and all copies thereof are proprietary to the Company and title thereto remains in the Company. All rights in the Software not specifically granted in this Agreement are reserved to the Company.

5. DATA HANDLING

The Software processes data exclusively within the user's Power BI environment. No data is transmitted to external servers operated by the Company. For details on data handling, please refer to our Privacy Policy.

6. DISCLAIMER OF WARRANTIES

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and noninfringement.

7. LIMITATION OF LIABILITY

In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Software.

8. TERMINATION

This Agreement is effective until terminated. The Company may terminate this Agreement immediately if you breach any provision. Upon termination, you must cease all use of the Software.

9. GOVERNING LAW

This Agreement shall be governed by the laws of the Province of Alberta, Canada.
